Total Identity Corp. ("TIC") is developing opportunities within
the $13 billion signage industry with the goal of becoming the place for corporate
America to go for their custom sign needs. TIC plans on having a variety of
product offerings that will give its client's greater value with enhanced customer
service. TIC is looking at various sign companies that will both compliment and be
synergistic with TIC in its efforts to become the leading custom sign company to
corporate America.
Recent Developments
TIC acquired the Factory Automation assets from HiTech
Electronic Displays, Inc. The acquisition is currently generating over $500,000
per year in revenues. The assets and operations of the acquisition will operate
within Total Digital Displays, Inc. ("TDD") TIC's newly created subsidiary.
TIC originally approached HiTech to discuss private labeling products for the
TDD division. Those discussions evolved into a formal acquisition agreement
where TIC has acquired all of the assets of HiTech's Factory Automation ("F/A")
division including intellectual property and their existing dealer network
established in North America. Under the agreement HiTech will continue to
provide components and assemble the F/A LED displays. Furthermore, TDD at
its option can elect to takeover the assembly of the displays, which will
further increase TDD margins. TDD has also entered into a marketing agreement
with HiTech to be a distributor of their commercial products under a private
labeling agreement. Currently HiTech's commercial signs can be seen at McDonalds (NYSE "MCD")
drive through order screens, on Walgreen's (NYSE "WAG") Marquee signs, and at
Epcot Center (NYSE "DIS") HiTech created the globe used in the nightly show,
just to name a few of the 18,000 installation
TIC has acquired Total Identity Group a custom sign manufacturer
located in Rochester, NY. Total Identity Group is one of the country's premier
custom manufacturers of on-premise image and identity products. Founded in 1928,
Total Identity Group has been designing and manufacturing unique and exciting
custom sign and awning products for customers of all sizes. Today, the Total
Identity Group name is synonymous with quality. Total Identities products have
received recognition in the past decade for creativity, innovation, and quality,
with over 40 awards received in national and international competitions. Total
Identity Group offers the most complete package of custom products and services
in the industry, from in-house design through engineering, manufacturing,
installation and service. Total Identity Group operates out of an efficient
85,000 sq. ft. facility in Upstate New York, which houses the latest CAD driven
software, hardware, and advanced fabrication techniques. Total Identity Group

Officers and Directors
Richard R. Dwyer - President and CEO
Mr. Dwyer assumed the role of President and CEO on August 21, 2003. From 1990
to his assumption of duties at TIC, Mr. Dwyer has served as a consultant and
advisor to numerous companies regarding mergers and acquisitions. Mr. Dwyer
has assisted his clients in raising over $100 million in the form of debt
and equity. Mr. Dwyer was also instrumental in assisting his clients getting
listed on the NASDAQ and American Stock Exchanges. Mr. Dwyer previously held
series 3, 7 and 24 licenses with the NASD.
Jeffrey W. Hoffman – Chief Financial Officer
Mr. Hoffman has 25 years of financial and operational experience with extensive
background in strategy, turnarounds, M&A and international business. Mr. Hoffman
will be ensuring that TIC has adequate financial controls in place for each of
its divisions. Mr. Hoffman received his BBA Accounting, St. Bonaventure University,
1977 (Summa Cum Laude) MBA Finance, Rochester Institute of Technology, 1986 (Dean’s
Scholastic Award) CPA, New York State, 1979.
Dr. Martin Peskin - Director
Dr. Peskin has been a director since July 2003. Previously Dr. Peskin was the
Founder and President for the Metropolitan Academy of Dentistry. Dr. Peskin
was in private practice in Richmond, VA for twenty seven years and specialized
in periodontics. Dr. Peskin graduated from Hobart College, completed dental
school at the University of Pennsylvania School of Dentistry, and completed
graduate school at the New York University College of Dentistry. Dr. Peskin
was also Chairman of the Advisory Board for Fidelity Federal Bank.
Neil Dolgin - Director
Mr. Dolgin has been a director of the Company since April 29, 2003. Mr. Dolgin
is also a principal and partner at Kalmon Dolgin Affiliates, Inc., and has been
since 1975. As a principal and partner at Kalmon Dolgin Affiliates, Inc., Mr.
Dolgin is responsible for determining the feasibility and requirements for
corporate operations throughout New York City, Long Island, New Jersey, and
Miami, including office site selections, professional and support personnel
selections, and financial resources planning. Mr. Dolgin received his
Bachelor of Arts from University of Denver and his M.B.A. from Syracuse University.
Scott Siegel - Director
Mr. Siegel has been a director of the Company since March 5, 2003. Mr. Siegel
has been the Chief Executive Office, Secretary and Treasurer of First Aid Direct, Inc.
("FADI") effective January 1, 2001. From August 1997 to December 1999, Mr. Siegel
served as Chairman and Secretary of the Company. From December 1999 to the August 2000,
Mr. Siegel served as a Group Manager at First Aid Select, a business division of Van Dyne-Crotty, Inc. |
